ClickNotes Terms of Use

1. Acceptance of Terms
These Terms of Use (“Terms”) govern your use of the ClickNotes website and software (“ClickNotes”, “the app”, “the service”). By accessing or using ClickNotes, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use ClickNotes.
2. Description of the Service
ClickNotes is a software application that allows you to create and use customizable panels of buttons that insert predefined text into other applications.
ClickNotes is intended to improve efficiency and consistency in documentation but does not provide clinical, medical, legal or professional advice of any kind.
You are solely responsible for:
- The content of your notes
- Clinical decisions and professional judgement
- Compliance with all relevant laws, regulations and professional standards
3. License to Use
Subject to these Terms and any applicable End-User License Agreement (EULA), we grant you a limited, non-exclusive, non-transferable license to use ClickNotes on compatible devices that you own or control.
You must not:
- Reverse engineer, decompile, or attempt to extract source code
- Reproduce or distribute the app except as permitted by law or license terms
- Use ClickNotes for any unlawful, harmful or abusive purpose
4. Subscription and Payment Terms
ClickNotes is offered as a subscription service at $14.99 AUD per month (or equivalent in your local currency).
Payment Processing:
- You will be charged through Lemon Squeezy, our authorized payment processor
- By purchasing ClickNotes, you also agree to Lemon Squeezy’s Terms of Service
- Lemon Squeezy handles payment processing, tax collection, and currency conversion automatically
License Keys:
- After purchase, you will receive a license key via email
- Enter your license key in the app to activate your subscription
- One license key works on both macOS and Windows
- You may use your license on up to 2 devices simultaneously
- License keys are personal and must not be shared publicly
Billing:
- Subscriptions automatically renew each month unless cancelled
- Manage your subscription through Settings → Manage Subscription in the app
- You will receive email reminders before renewal
- Prices may change with 30 days’ notice posted on our website or in-app
- All applicable taxes are calculated and collected by Lemon Squeezy automatically
Cancellation:
- Cancel anytime through Settings → Manage Subscription
- Or email support@clicknotes.app to cancel
- Cancellation takes effect at the end of the current billing period
- You retain access until the end of your paid period
- No refunds for partial months or unused time, except as stated below
14-Day Money-Back Guarantee:
- New subscribers receive a 14-day money-back guarantee
- If you’re not satisfied, email support@clicknotes.app within 14 days of purchase
- Full refund processed within 5-7 business days via Lemon Squeezy
- One refund per customer
Payment Failure:
- If payment fails, you have a 7-day grace period to update payment details
- Access Lemon Squeezy subscription portal through Settings or email link
- After 7 days without payment, app enters View-Only Mode
- View-Only Mode: You can view panels but cannot use buttons or edit content
- Your local panel data is preserved – we do not delete your work
- Resubscribe anytime to restore full access immediately
Free Trials:
- We may offer free trial periods from time to time
- Trials are available once per user
- You must cancel before the trial ends to avoid being charged
- We reserve the right to determine trial eligibility and may verify identity
5. User Responsibilities
You agree to:
- Use ClickNotes in accordance with professional and legal obligations
- Ensure that all patient-related information is handled securely and confidentially
- Verify the accuracy and appropriateness of any text or templates you create and use
- Maintain backups of your important data
You understand that ClickNotes is a tool to assist with text entry and organisation, not a medical decision-making system.
6. Prohibited Uses
In addition to the restrictions in Section 3, you must not:
- Use ClickNotes to create or distribute content that is illegal, fraudulent, defamatory, or violates third-party rights
- Attempt to circumvent subscription requirements or share accounts
- Use the app in ways that could harm, disable, or overburden any systems
- Create panels containing malicious code, scripts, or exploits
- Impersonate others or misrepresent your relationship with ClickNotes
- Scrape, data-mine, or harvest information from the app or website
- Use ClickNotes to spam, harass, or send unsolicited communications
7. Clinical and Legal Disclaimer
ClickNotes does not:
- Provide diagnoses or treatment plans
- Replace your professional judgement
- Guarantee compliance with any specific documentation standard or regulatory body
You remain fully responsible for:
- The clinical content of your notes
- Compliance with record-keeping obligations
- Any outcomes arising from the use of templates or macros
8. HIPAA and Privacy Law Compliance
Your Obligations:
If you use ClickNotes in a healthcare setting, you are solely responsible for:
- Compliance with HIPAA, state privacy laws, and international regulations (e.g., GDPR, Australian Privacy Principles)
- Ensuring that your use of ClickNotes meets all applicable privacy and security requirements
- Implementing appropriate safeguards for protected health information (PHI)
- Training staff on proper use and data handling
ClickNotes Does Not:
- Act as a Business Associate under HIPAA
- Store, transmit, or process PHI on our servers
- Provide HIPAA-compliant cloud storage or backup services
Local Storage Only:
All panels, templates, and content you create are stored locally on your device. ClickNotes does not transmit this data to our servers except:
- Anonymous usage analytics (if you opt in)
- Crash reports (which contain no user content)
You remain the sole custodian of your data and must implement your own backup and security procedures.
9. Data Storage, Backups, and Privacy
Local Storage:
- All panels, buttons, and templates are stored locally on your Mac
- We do not have access to your panel content or text templates
- Panel files are saved in your user Application Support directory
Backups:
- ClickNotes includes automatic local backup functionality
- You are responsible for maintaining your own additional backups
- We recommend regular backups to Time Machine, iCloud Drive, or external storage
- Backup files may contain sensitive information—secure them appropriately
No Cloud Sync:
- ClickNotes does not currently offer cloud synchronization
- Panel data is not transmitted to our servers or stored remotely
- Sharing panels between devices requires manual file transfer
Analytics and Telemetry:
- We may collect anonymous usage statistics (e.g., feature usage, crash reports)
- This data does not include your panel content, text templates, or personal information
- You can opt out of analytics in Settings

10. Intellectual Property
Unless otherwise indicated:
- All rights in the ClickNotes software, branding, logos, documentation, and underlying code are owned by us or our licensors
- You retain ownership of your own panel definitions, text templates, and any content you create with ClickNotes
You must not use our trademarks, logos or branding without our prior written consent.
11. Panel Library Terms
Pre-Made Panels:
- The Panel Library offers downloadable panel templates created by us or community contributors
- These panels are provided for convenience and educational purposes only
- You must review and verify all content before use in professional contexts
Your Responsibilities:
- Ensure templates comply with your local laws, regulations, and professional standards
- Modify templates as needed to fit your specific practice and patients
- Do not rely solely on pre-made templates for clinical decision-making
License for Panel Library Content:
- You may use downloaded panels in your own ClickNotes installation
- You may modify panels for your personal or professional use
- You must not redistribute, resell, or publicly share unmodified Panel Library content without permission
Community Contributions:
- If you submit panels to the library, you grant us a non-exclusive license to distribute them
- You represent that your submissions do not violate any third-party rights
- We reserve the right to accept, reject, or remove any submissions
No Warranty:
- Panel Library content is provided “as is” with no guarantees of accuracy, completeness, or suitability
- We are not responsible for errors, omissions, or outcomes from using library panels
12. Third-Party Services
ClickNotes may interact with third-party applications (for example, by typing text into them), but it does not integrate them as services.
We are not responsible for:
- The operation or security of third-party applications
- Any changes those applications make to their own behaviour or APIs
- Data loss or corruption occurring in third-party systems
System Requirements:
- macOS: Requires macOS 14.0 (Sonoma) or later
- Windows: Requires Windows 10 (64-bit) or later
- Performance and features may vary depending on your hardware and OS version
- One license key works on both platforms
- We are not responsible for incompatibility with unsupported systems or third-party software
Updates:
- Updates are delivered automatically through the app’s built-in updater
- You can check for updates manually through Help → Check for Updates
- Some updates may require acceptance of revised Terms or additional permissions
- We may discontinue support for older versions at our discretion
14. No Warranty
To the fullest extent permitted by law, ClickNotes is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.
We do not guarantee that:
- ClickNotes will be error-free or uninterrupted
- All bugs or defects will be corrected
- ClickNotes will be compatible with every device, OS version or third-party app
15. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special or consequential loss, including loss of data, loss of profits, business interruption or reputational damage, arising out of or in connection with your use of ClickNotes
- Our total aggregate liability to you for any claim arising from or relating to ClickNotes is limited to the amount you paid for the software in the 12 months prior to the event giving rise to the claim (if any)
Nothing in these Terms excludes any rights or remedies that cannot be excluded under applicable law, including the Australian Consumer Law.
16. Termination
We may suspend or terminate your license to use ClickNotes if you materially breach these Terms or any applicable EULA.
Upon termination, you must cease using ClickNotes. You may retain local backups of your own content where allowed by law.
17. Changes to the Terms
We may update these Terms from time to time. The latest version will be posted on our website. Your continued use of ClickNotes after changes are posted constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by the laws of Queensland, Australia, without regard to conflict-of-law principles.
Any disputes arising from these Terms or your use of ClickNotes will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
Australian Consumer Law:
Nothing in these Terms excludes, restricts, or modifies any consumer rights or remedies under the Australian Consumer Law or other applicable laws that cannot be excluded.
19. Entire Agreement
These Terms, together with our Privacy Policy and any applicable End-User License Agreement (EULA), constitute the entire agreement between you and The Nerve Solution Pty Ltd regarding ClickNotes.
These Terms supersede any prior agreements, communications, or understandings, whether written or oral.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
20. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and all other provisions will remain in full force.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
